These Terms and Conditions (“Agreement”) govern participation in the XP Network as an XP Pro Vendor Member and you agree to comply with the following terms.
1. XP Pro Vendor Membership
XP Pro is a visibility-focused vendor membership designed for businesses that want stronger online presence, promotion, and marketing tools within the XP Network.
XP Pro membership includes all benefits of the VIP Vendor Membership, plus additional tools designed to increase visibility and business engagement.
XP Pro membership includes:
All VIP Vendor benefits, including:
• A vendor listing in the XP Directory (self-managed / DIY)
• The ability to receive referrals through the XP Network
• Access to the vendor dashboard
• Access to the XP Bidding System
• Verified Vendor Badge for increased trust and credibility
• Pre-approved posting privileges in XP public Facebook groups
• Access to the Private VIP Networking Group
• Marketing & AI Training Library access
• Job posting privileges within the XP Network
• Exclusive travel vouchers for savings on trips
• Wholesale pricing on printing services
• Discounted gift cards to major retailers
• Earn commissions on referrals made within the XP Network

3. Purpose of the XP Platform
XP is a visibility and credibility platform designed to help local businesses strengthen their presence through community engagement, referrals, and review activity.
XP does not guarantee leads, customers, sales, or business outcomes. Results vary depending on business reputation, community engagement, customer experience, and market conditions.

4. Vendor Conduct
XP Pro vendors agree to maintain professional and ethical conduct when interacting with:
• XP customers
• XP agents
Other vendors in the network Vendors must not:
• Provide false or misleading information
• Manipulate reviews or feedback systems
• Harass customers, agents, or other vendors
• Use the platform for illegal or deceptive activity Failure to follow these standards may result in suspension or removal from the XP Network.

5. Referrals and Promotional Activity
XP Pro vendors may receive referrals and promotional exposure through the XP Network. However, vendors acknowledge that:
• Referrals are not guaranteed
• Customer purchasing decisions remain independent
• XP does not control customer behavior or purchasing decisions XP provides visibility and promotional opportunities, not guaranteed business results.

6. Membership Upgrades
XP Pro vendors may upgrade their membership to additional services when available. Optional upgrades may include:
• XP Agent Membership
• XP Agent Pro Membership
• XP Coupon Rewards Program
• Additional promotional services Upgrade availability and pricing may change over time.

7. Account Suspension or Removal
XP reserves the right to suspend or terminate vendor accounts that:
• Violate these Terms and Conditions
• Engage in fraudulent or deceptive behavior
• Damage the integrity or reputation of the XP Network
• Violate applicable laws or regulations XP may remove listings to maintain trust and platform integrity.

8. Limitation of Liability
XP provides tools and services intended to improve vendor visibility and credibility. XP makes no guarantees regarding:
• Customer referrals
• Business growth or revenue
• Search engine ranking
• Social media engagement or performance XP shall not be liable for business losses or indirect damages related to participation in the platform.



9. Platform Updates
XP may update platform features, tools, or membership benefits from time to time in order to improve services and expand functionality.
Material changes may be communicated to vendors when appropriate.



10. Termination
XP Pro vendors may downgrade their membership at any time.
Upon downgrade:
• Monthly billing stops at the end of the billing cycle
• Upgrade benefits will be removed Setup fees (if any) are non-refundable once onboarding work has begun.

11. Acceptance of Terms
By upgrading to XP Pro Vendor membership, you confirm that:
• You have read and understand these Terms and Conditions
• You agree to comply with XP policies and platform guidelines
• You accept the responsibilities associated with participating in the XP Network
